At SOMOS SULA, S.L., we offer and, where applicable, supply the content, products, and services to the user visiting the website, limiting ourselves to including the aforementioned content, products, and services therein.

The information contained on the website is offered for the user's convenience. However, it may contain inaccuracies, typos, or errors of any kind. At SOMOS SULA, S.L., we do not guarantee the accuracy or reliability of the information or content on the website.

3. PURCHASING OR CONTRACTING PROCEDURE

From the SOMOS SULA, S.L. website, the user has access to the purchase of fashion products (dresses, trousers, shirts...), which can be carried out in the relevant section. The purchase through the website will be carried out by SOMOS SULA, S.L., whose legal details appear in these Online Contracting Terms and Conditions.

To make purchases through www.paroleitaly.com, the user must access the "Shop" tab, where the available collections are shown. Within each one, photographs of the existing items are displayed, and the user may choose between different types of products (dresses, sweaters...). To add them to the shopping basket, they must click on them and, subsequently, on the "Add to cart" button, after choosing—where applicable—the size, color, and number of items to purchase. For products that are out of stock, a notice indicating this circumstance will be displayed.

Once the desired products have been selected and added to the cart, the user will be able to check the order details in the tab located in the upper right corner of the page (represented by a shopping bag icon accompanied by the number of items added). Via this link, the user can review the total number of items added, along with the chosen size and color, quantity of items, unit price, and total price for each product. When viewing the cart, the user may, if desired, remove the corresponding products and modify the number of items to be purchased.

Next, the user must request confirmation of the purchase (using the "Proceed to checkout" button), providing their personal data (first and last name, address, phone number, email address...). If any discount coupon applies, it will be added at that moment. They must also accept these Contracting Terms and Conditions and the Privacy and Data Protection Policy. Likewise, they must complete the details regarding the payment method for the price, in accordance with the provisions of Clause Five of our Online Contracting Terms and Conditions.

The data archived on this website constitutes proof of all transactions carried out between SOMOS SULA, S.L. and its customers. The user will be confirmed by email, within a maximum period of 24 hours, that their purchase has been registered. At SOMOS SULA, S.L., we reserve the right to reject a purchase from any user with whom there is a dispute.

4. PRICE OF PRODUCTS OR SERVICES

Unless otherwise specified, the total price of the items offered on this website will be expressed in euros (€) and will include the applicable VAT in accordance with the tax regulations that proceed. This total price may be viewed by the user at the time of confirming the purchase, so that they can verify that both the purchase details and the price of the item(s) are correct.

At SOMOS SULA, S.L., we reserve the right to modify the prices of the products offered through this website, keeping the user informed about such modifications, which they can clearly view at the time of selecting the desired service.

The prices indicated online will be those that have been specified to each user depending on the type of service contracted.

5. PAYMENT METHODS

At the time of confirming the purchase, the user must proceed to pay for it, which can be done via credit/debit card, PayPal, or Klarna. The payment for the purchase will be made in euros (€).

In the event that the payment is made by card, the persons executing the purchases must guarantee that they are fully authorized to use it and that it has sufficient funds to cover all the costs resulting from the orders placed. Our platform guarantees and ensures a secure payment procedure on the Internet. If a payment rejection occurs, the purchase will be automatically canceled, and the user will be informed by sending an email.

If the user opts for payment via the PayPal platform, the order will begin to be processed as soon as possible after the acceptance of the transaction. The user will be redirected to the platform, where they must enter their details (email and account password), select the payment method (available balance or linked cards), and confirm the payment.

In the event that the chosen option is payment via Klarna, the platform performs a solvency analysis in seconds to approve or reject the operation and, depending on the chosen option (payment in 3 months, in 30 days...), the first charge is made to the debit or credit card previously linked by the user. Payment tracking and management of installments can be done through the platform's app.

However, if the purchase was effectively made by the user and the latter subsequently demands the cancellation of the charge after the expected return period (indicated in Clause Seven), they must compensate SOMOS SULA, S.L. for the damages caused by such cancellation.

6. BILLING

By accepting these Online Contracting Terms and Conditions, the user expressly consents to receive both a paper invoice for the purchase made and an electronic invoice to the email address they have provided, both of which have the same validity and effectiveness. In case you have a specific preference for one of the two billing methods, you can inform us by sending an email to administracion@somossula.com.

Purchases will only be effective at the moment in which we at SOMOS SULA, S.L. make or receive the charge validly, with the purchase(s) being cancellable by you until that moment.

7. WITHDRAWAL

The user has the right to withdraw from this contract free of charge within a period of fourteen (14) calendar days without having to provide any reason, a period that will begin to count from the date on which they have received the items (that is, from the moment the user or a third party indicated by the latter, other than the carrier, acquired material possession of the goods). To meet the withdrawal deadline, it is sufficient for the communication regarding the exercise of this right to be sent before the corresponding deadline expires.

This right shall not apply to products that, due to their nature, cannot be returned for reasons of hygiene or health, or that have been personalized or made according to the user's specifications.

To exercise this right, the user must notify SOMOS SULA, S.L. of their decision to withdraw from the contract through an unequivocal statement (for example, a letter sent by post or an email), through one of the following means:

To this end, the user may use the withdrawal form model shown below, although its use is not mandatory. You will also have the option to complete any other unequivocal statement through our website (www.paroleitaly.com); if you use this option, you will be notified without delay by email of the receipt of said withdrawal.

At SOMOS SULA, S.L., we remind the user of the consequences of withdrawal. In case of exercising this right, the obligations of contract execution will be extinguished, and all payments received from you will be returned, including delivery costs (with the exception of additional costs resulting from the choice of a shipping option different from the least expensive mode of ordinary delivery offered by SOMOS SULA, S.L.), without undue delay and, in any case, no later than fourteen (14) calendar days from the date on which the user communicated their decision to withdraw from this contract. At SOMOS SULA, S.L., we will proceed to make said refund using the same payment method used by the user for the initial transaction, unless the latter has expressly provided otherwise; in any case, the user will not incur any expenses as a result of the refund. If the goods are picked up by a transport company or delivered directly by the user, we at SOMOS SULA, S.L. reserve the right to withhold the refund until we have received the goods or until the user has submitted proof of their return, whichever condition is met first. Likewise, the user must bear the direct costs of returning the goods.

The goods will be picked up by the transport company designated by SOMOS SULA, S.L., or the user must deliver the goods to the address C/ JOSÉ M.ª PEREDA, 43, BAJO DCHO., 39300, TORRELAVEGA (CANTABRIA), either directly or through the transport company or third party chosen by the user. For the choice of the return method, the user and SOMOS SULA, S.L. will maintain appropriate contact for this purpose. The delivery/pickup will take place without undue delay and, in any case, no later than 14 calendar days from the date on which the user communicated their decision to withdraw from the contract to SOMOS SULA, S.L. This deadline will be considered met if the return of the goods is carried out before it has expired, even if the goods have not yet been directly delivered to the SOMOS SULA, S.L. establishment.

At SOMOS SULA, S.L., we reserve the right to reject withdrawals communicated or sent outside the established deadline, of items that are not in the same conditions in which they were received, or in any other cases in which the conditions indicated above are not met. Likewise, we are not responsible for losses, delays, or shipments to incorrect addresses by the user, with the latter being responsible for the arrival at the destination of the products subject to withdrawal and, in case of loss, the assumption of the corresponding amount.

8. SHIPPING, TRANSPORT COSTS, AND DELIVERY TIMES

Two shipping methods are provided: local pickup or home delivery.

It should be noted that orders placed during the weekend may be processed on the immediately following Monday, unless it is a public holiday or vacation period. Likewise, orders placed during holiday periods or periods of high demand (e.g., sales, Christmas, etc.) may take longer than usual to prepare and ship.

8.1. Local pickup

This method has no additional cost for the user.

In case of choosing local pickup, once the order is confirmed and accepted, as well as its price paid in full, it can be collected by the user at the SOMOS SULA, S.L. facilities (C/ JOSÉ M.ª PEREDA, 43, BAJO DCHO., 39300, TORRELAVEGA, CANTABRIA). A maximum preparation period of two (2) business days from the confirmation or payment of the order, as applicable, is estimated, with an email being sent to the user when the preparation has been finalized.

Once the opening of the pickup period is notified, the user will have a period of seven (7) business days to collect their order. If they fail to do so (and, therefore, do not come to be in possession of the goods for reasons not attributable to SOMOS SULA, S.L. in the relevant period), they will be considered to have withdrawn from the contract and:

1. The corresponding amount will be returned, and the products will be put back on sale.
2. Regarding products that are not subject to the right of withdrawal, no amount will be returned to the user, with no claim proceeding from their part.

All of this in accordance with the provisions of Clause Seven of these Contracting Terms and Conditions.

8.2. Home delivery

If home delivery is chosen, once the order has been confirmed and accepted, and its price paid in full, it will be sent to the user by the logistics company designated by SOMOS SULA, S.L. as soon as possible, bearing in mind that orders placed during the weekend may be processed the following Monday, unless it is a public holiday or vacation period. Delivery will be carried out under the responsibility of the carrier.

The shipping costs will be shown during the order processing, before finalizing the purchase, and may vary depending on the destination and the weight of the package. Shipments will only be made to the Peninsula (Spain and Portugal), the Balearic Islands, and EU territories (it is recommended to consult before making the purchase). For orders destined for the Peninsula, shipping will be free for orders over €100 (outlet not included).

The product will be delivered to the address provided by the user when placing their order. In the event that they wish to make changes after order confirmation regarding the delivery address, they must contact the transport company, stating the corresponding circumstances, in order to ensure the effective and satisfactory delivery of the product to the destination. All incidents related to shipping (non-delivery, wrong address, loss...) will be the responsibility of the corresponding logistics company, and therefore the user exempts SOMOS SULA, S.L. from any liability in this regard.

In the event that the carrier, after making the corresponding attempts, is unable to locate the user or deliver the order, the latter will be returned to SOMOS SULA, S.L. The user may choose, if they wish, to arrange a new delivery, this time cash on delivery. In these cases, if a new delivery is not required, the order amount —excluding shipping costs— will be refunded to the user as soon as possible, excluding shipping costs and the amount of items that are not subject to the right of withdrawal, for which no refund will apply, and no claim can be made by the user.

9. LEGAL WARRANTY

Through these Terms and Conditions of Sale, we at SOMOS SULA, S.L. inform the user that, in accordance with the provisions of the regulations, they have the right to enjoy a legal warranty of three (3) years in relation to the products purchased on this website.

Said legal warranty will cover the lack of conformity of the product with its conditions specified at the time the order was placed. We at SOMOS SULA, S.L. recommend that the user reviews and inspects the purchased products at the time of delivery, in order to verify and be able to notice at that time the possible presence of any type of lack of conformity, in accordance with the conditions and particularities specified prior to order confirmation.

In the event that the user does not notice the lack of conformity at the time of delivery of the product, they must inform SOMOS SULA, S.L. of it within a period of two (2) months from the moment they become aware of it, by sending a communication to the address C/ JOSÉ M.ª PEREDA, 43, BAJO DCHO., 39300, TORRELAVEGA, CANTABRIA or an email to administracion@somossula.com, stating their basic personal data (name, surname, address) and order number. SOMOS SULA, S.L. and the user will maintain contact to adopt the corresponding solution based on the characteristics of the order and the lack of conformity detected.

It will only be presumed, unless proven otherwise, that the lack of conformity already existed at the time of product delivery when it manifests itself in the two (2) years following said delivery, except when this presumption is incompatible with the nature of the product or the nature of the lack of conformity. Once this period has elapsed, it will be the user who must demonstrate that the lack of conformity existed from the beginning.

The items to be returned will be collected by the transport or courier company designated by SOMOS SULA, S.L. once the notification or communication from the user has been received, on the date and time indicated for that purpose, or at the time of order delivery, if the user had appreciated the lack of conformity then. We at SOMOS SULA, S.L. will assume the cost of said return, except for the provisions of the following paragraph or specific modifications that are more burdensome for us regarding the collection requested by the user.

The provisions of this Clause will not be applicable in those cases in which the user proceeds to return the product based on causes that are not due to a defect due to lack of conformity of the product, in which the provisions of the Seventh Clause of these Terms and Conditions of Sale will be applicable.

In any case, to proceed with their return, the products must be in perfect condition, without damage, and in their original packaging.

10. USER OBLIGATIONS

The user agrees to be responsible for the economic consequences derived from any use of this website by themselves or by third parties and declares that all the information they provide, when requested during the use of the web, is true, complete, and accurate, committing to update it when necessary.

The user will use this website solely and exclusively for private and personal use and may not copy, reproduce, transmit, or distribute in any way its content or that of the services that can be obtained through it, without the written permission of SOMOS SULA, S.L.

11. OBLIGATIONS

We at SOMOS SULA, S.L. commit to acting with the utmost diligence so that the data appearing on this website is at all times truthful and updated. However, on some occasions and for reasons beyond our control, there may be some typographical error, and we commit in such cases to correct such errors as soon as possible. Likewise, if any price contained any error and any user was affected by it involuntarily, but this could not have been noticed at the time of making the reservation, we at SOMOS SULA, S.L. will maintain the initially offered price for said user.

We at SOMOS SULA, S.L. will not be held responsible, directly or subsidiarily, for:

• The quality of the service, access speed, correct operation, nor the availability or continuity of the website's operation.
• The information entered by the user, collaborators, and third parties.
• Damages that may be caused to the user's equipment by the use of this website.
• Links and hypertext that allow the user to access, through this website, benefits and services offered by third parties that do not belong to and are not under the control of SOMOS SULA, S.L. We will not be responsible for the information contained therein nor for any effects that could derive from said information.

12. ACCESS

We at SOMOS SULA, S.L. reserve the right to deny or withdraw access to this website and/or the services, at any time and without prior notice, to those users who fail to comply with these online Terms and Conditions of Sale.

13. PARTIAL NULLITY

If any of these Terms and Conditions of Sale are declared null and void by a final resolution issued by the competent authority, the other conditions will remain in force, without being affected by the aforementioned declaration of partial nullity.

14. MODIFICATIONS

We at SOMOS SULA, S.L. reserve the right to modify these Terms and Conditions of Sale, keeping the user informed about the significant changes made to them. However, the modification of these Terms and Conditions will in no case have a retroactive character.

We at SOMOS SULA, S.L. also reserve the right to modify, limit, or cancel the terms and conditions applicable to this website, provided that notice is given at least 15 days in advance. The prior notice will be made through a pop-up window, which will open upon accessing the page, or a notification to the user that will be made prior to the modification, limitation, or cancellation.

16. APPLICABLE LAW AND JURISDICTION

These Terms and Conditions of Sale are governed, in terms of their interpretation and execution, by Spanish law and, in particular, the legislation on consumers and users.

Failure to comply with all or any of these Terms and Conditions will result in the termination of the contractual relationship. The Courts of Torrelavega (Cantabria) will be competent to hear any litigation arising from these conditions, unless, as provided in Royal Legislative Decree 1/2007, of November 16, which approves the consolidated text of the General Law for the Defense of Consumers and Users, the counterparty has the status of a consumer or user, in which case the courts of the consumer's domicile will be competent.
